As a result of the meeting held by the Board of Directors of our Company on 06.05.2024 at the company headquarters;
According to our consolidated financial statements for the accounting period 01.01.2023-31.12.2023 prepared by our Company in accordance with the Capital Markets Board's "Communiqué on Principles Regarding Financial Reporting in Capital Markets" numbered II.14.1 and independently audited by Kavram Bağımsız Denetim ve Danışmanlık A.Ş., a net profit of TL 90,556,731 after tax and according to our individual financial statements prepared in accordance with the relevant provisions of the Turkish Commercial Code and Tax Procedure Law No. 213 (TPL), a net profit of TL 182,521,180 after tax was obtained.
However, by evaluating the conditions stipulated in our Company's dividend distribution policy; taking into account the current economic conjuncture, the long-term strategies, investment, cash flow and financing policies of the company, and the long-term interests of our shareholders, our company and our employees, it has been decided not to distribute the distributable profit for the fiscal year 2023 in order to strengthen the financial structure and not to create new financing needs, and to transfer it to the retained earnings account.
This decision was submitted to the approval of the shareholders at the Ordinary General Assembly meeting held on 07.06.2024 and the decision not to distribute dividends was approved by majority vote.
