With the decision of the Board of Directors of our Company dated 21.12.2021, the negotiations for participation in PD Anadolu by purchasing some of the shares of PD Anadolu Araştırma Danışmanlık Eğitim ve Bilişim Hizmetleri Ticaret A.Ş. (PD Anadolu / "Datamind" as known in the sector) were completed and an agreement was signed on 18.04.2022 to purchase 51,2% of PD Anadolu shares from PD Anadolu shareholders.
Within the framework of the agreement, shares with a nominal value of TL 768,000 representing 51.2% of PD Anadolu shares with a paid-in capital of TL 1,500,000 will be purchased for TL 22,980,000 in accordance with the valuation report and PD Anadolu will become a subsidiary of our Company.
The decision of the Board of Directors regarding the postponement of the public disclosure of the acquisition negotiations process on 21.12.2021 regarding the acquisition of PD Anadolu shares in order to prevent damage to our legitimate interests, to prevent misleading our investors and to ensure that this information is kept confidential is disclosed to the public in accordance with Article 6/2 of the CMB's Communiqué on Material Events.
